From Section 3 of my Business Organizations casebook, entitled
“The Legal Structure of Management,” comes this gem analogy:

As Michael Klausner has pointed out, because so many corporations are incorporated in Delaware, incorporation in Delaware brings in its train a type of benefit known as a network externality. Just as it may be desirable to use certain software, such as Microsoft Windows, whether or not it is better than other software, just because so many other people use it and are familiar with it, so it may be better to incorporate in Delaware, whether or not Delaware law is better than other state law, just because so many other corporations use and are familiar with it.

(Emphasis added).

In other words; Arkansas, here I come.
